Advisory practices
Advice for the moments that cannot be repeated.
Three practices, deliberately connected: the sale of a company, the structure that protects the proceeds, and the capital that funds the next chapter. The partner who wins the mandate runs the mandate.

Mandates from $20M to $250M enterprise valueM&A Sell-Side Representation
For founders who have built something worth protecting — and who want to choose the buyer, the terms and the timing rather than have them chosen for them.
Most founder exits are won or lost before the first buyer meeting. We begin with a valuation built on evidence: the quality of your earnings, the strategic value of your position, and the universe of counterparties who can actually close. Then we run a narrow, personal process — usually six to ten parties, approached by a partner, not a mailing list.
We negotiate the clauses that decide what happens after signing: earn-outs, warranties, consideration structure, management retention and the first hundred days. Our fee is aligned to completion, and we never represent both sides of the same transaction.
What the mandate includes
- Defensible valuation and equity story
- Confidential buyer mapping and outreach
- Information memorandum and data room
- Term-sheet strategy and negotiation
- Due diligence management
- Signing, completion and transition support
Cross-Border Wealth Preservation
For families whose assets, children and obligations already cross borders — and who need a structure that remains coherent as the next generation takes custody.
We design and coordinate family office structures across Switzerland, the United Kingdom, the European Union and Singapore: discretionary trusts, foundations, holding companies, insurance wrappers and the governance that holds them together. We work alongside your existing lawyers and auditors, or introduce independent counsel where a second opinion is warranted.
Our bias is towards simplicity and durability. A structure that requires a specialist to explain at every generation is not a structure — it is a dependency. We document the family constitution, the investment policy and the reporting that lets trustees and beneficiaries see the same picture.
What the mandate includes
- Jurisdiction and residency mapping
- Family office operating model
- Trust and foundation coordination
- Family constitution and governance
- Succession and philanthropy planning
- Consolidated reporting and oversight
Special Situations & Debt Advisory
For businesses that need capital, breathing room or a better lender — and for owners who want independent advice on the cost of both.
Growth capital is not a prize. It is a set of obligations, covenants and expectations that will shape the next five years. We advise on the right instrument and the right partner: unitranche, mezzanine, private credit, structured equity or a straightforward refinancing. Where the answer is to raise less — or not at all — we will say so.
In special situations, we take control of the lender conversation: covenant resets, amendment and waiver processes, maturity extensions and, where necessary, a consensual restructuring. We are not a broker and we do not take commissions from capital providers.
What the mandate includes
- Capital structure review
- Lender and credit fund outreach
- Mezzanine and unitranche negotiation
- Covenant reset and amendments
- Refinancing and maturity extensions
- Independent debt capacity opinions
Operating principles
How we protect the advice.
Three principles govern every mandate, regardless of size or jurisdiction.
Independence
No lending balance sheet, no product shelf, no referral fees. Our only revenue is the fee a client agrees to pay for advice.
Concentration
A deliberately small book. Every partner runs a handful of mandates at a time so that attention is never diluted.
Alignment
A meaningful portion of our fee is contingent on completion. We do not earn the same amount for advice that goes nowhere.
Every mandate begins with a private conversation.
No pitch deck, no junior team. A partner will listen first, then tell you honestly whether we can help.
